Terms of Service

Terms of Service

These Terms of Service ("Terms") are a binding agreement between Pack Grid LLC, a Virginia limited liability company doing business as Pack Grid("Pack Grid," "we," "us," or "our"), and the person or entity accepting these Terms ("Customer" or "you").

Acceptance and authority

By creating an account, clicking an acceptance control, purchasing a subscription, signing an order form that references these Terms, or using the service, you agree to these Terms and acknowledge our Privacy Policy. If you act for a company or other organization, you represent that you are at least 18 years old and authorized to bind that organization. In that case, "Customer" means that organization.

Pack Grid is offered for business use by Amazon selling partners, FBA sellers, prep centers, brand owners, and their authorized personnel. It is not offered for personal, family, or household use.

The service

Pack Grid provides operational and analytical tools that may include receiving, preparation, packing, warehouse stations, shipment planning, label and document generation, printer workflows, inventory and catalog reporting, advertising and performance analytics, exception reporting, and authorized third-party integrations.

Features may differ by plan, configuration, marketplace, or integration. An order form or checkout page may add commercial terms. If an order form signed by Pack Grid conflicts with these Terms, the order form controls only for that conflict.

Accounts and organization administration

You must provide accurate account and billing information, protect credentials, use appropriate permissions, and promptly notify us of suspected unauthorized access. Accounts may not be shared except through a Pack Grid feature expressly designed for an authorized station or shared workflow.

Customer controls its organization membership and administrator roles. Organization administrators may access, export, modify, and delete data associated with the organization and may manage subscriptions and integrations. Customer is responsible for its administrators, users, devices, printers, and activity under its accounts.

Limited right to use Pack Grid

Subject to these Terms and payment of applicable fees, Pack Grid grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right during the subscription term for its authorized users to access and use the service for Customer's internal business operations. No software, source code, or intellectual-property ownership is transferred to Customer.

Acceptable use and restrictions

You may not, and may not allow anyone else to:

  • access data, accounts, marketplaces, or systems without authorization;
  • copy, sell, rent, sublicense, distribute, or commercially exploit the service except as expressly authorized in writing;
  • reverse engineer, decompile, disassemble, discover source code, or circumvent technical restrictions, except to the limited extent a law prohibits this restriction;
  • scrape, probe, test, scan, overload, disrupt, or bypass authentication, rate limits, or security controls;
  • introduce malware or use the service for unlawful, deceptive, infringing, fraudulent, or harmful activity;
  • use Pack Grid or its outputs to develop or train a competing product or reproduce Pack Grid's nonpublic workflows, interface, or features;
  • remove proprietary notices or use Pack Grid's marks without permission; or
  • submit personal information or other data that Customer lacks the legal right and required notices or permissions to process.

You must comply with applicable law, Amazon policies and agreements, third-party integration terms, export controls, and your own obligations to customers, workers, selling partners, and other data subjects.

Customer data

As between the parties, Customer retains its rights in data that Customer or its authorized integrations submit to the service ("Customer Data"). Customer grants Pack Grid and its service providers a non-exclusive right to host, copy, transmit, display, modify, and otherwise process Customer Data only as reasonably necessary to provide, secure, maintain, and support the service, comply with law, and fulfill Customer's documented instructions.

Customer represents that it has all rights, authorizations, notices, and lawful bases required for Pack Grid to process Customer Data as described in these Terms and the Privacy Policy. Customer is responsible for the accuracy, quality, legality, and permitted use of Customer Data.

Amazon and other integrations

Customer controls whether it authorizes Pack Grid to access Amazon Selling Partner API data or another third-party service. Customer represents that it owns or controls the connected account and has authority to authorize access. Customer may revoke an integration, although doing so may disable related features.

Amazon seller and customer data may be used only for the authorizing seller's permitted business purposes. Customer may not use Pack Grid to sell, disclose, combine, profile, or repurpose that data contrary to Amazon requirements, privacy law, third-party rights, or these Terms. Pack Grid does not offer cross-seller competitive intelligence or benchmarking about Amazon's business using unrelated sellers' authorized data.

Analytics, reports, labels, and business decisions

Analytics, forecasts, fees, margins, inventory recommendations, reports, labels, shipment artifacts, and integration results may depend on third-party data, estimates, configuration, and changing external rules. Customer must review outputs before relying on them and remains responsible for advertising, inventory, tax, catalog, packaging, shipping, labeling, compliance, and fulfillment decisions.

Pack Grid is not an accounting, tax, customs, legal, brokerage, or logistics adviser. No output guarantees Amazon acceptance, marketplace performance, inventory availability, delivery, revenue, or profit.

Subscriptions, free trials, automatic renewal, and payment

Prices, included features, billing interval, and the amount charged are disclosed at checkout or in an order form. Prices are in U.S. dollars unless stated otherwise. Monthly plans are charged at the beginning of each monthly term. Annual plans are charged for the full twelve-month term at the beginning of each annual term.

Free trial. We may offer a one-time free trial of the length disclosed at checkout to organizations subscribing for the first time. Trial eligibility is limited to organizations that have not previously held a Pack Grid subscription; an organization returning after a prior subscription, whatever its outcome, is charged from the start of the new subscription. No payment method is required to start an eligible trial. If no payment method is on file when the trial ends, the trial subscription is canceled at that time, paid features stop, and nothing is charged. If a payment method is added before the trial ends, the first subscription charge occurs when the trial ends and the subscription renews automatically thereafter as described below. Customer may cancel during the trial at no charge through billing settings or the Stripe billing portal. We may modify, limit, or discontinue trial offers for future signups at any time.

Subscriptions renew automatically for successive periods matching the selected billing interval until canceled. By confirming checkout, Customer authorizes Pack Grid and Stripe to charge the payment method on file for recurring subscription fees, applicable taxes, and authorized charges at each renewal.

Customer may cancel future renewal through Pack Grid billing settings or the linked Stripe billing portal. Cancellation takes effect at the end of the then-current paid term, and access continues through that date unless suspended or terminated for cause. Except where required by law or expressly stated in an order form, fees are non-refundable and no credits or prorated refunds are provided for partial terms, unused accounts, downgrades, or cancellation.

Customer is responsible for applicable sales, use, value-added, and similar taxes, excluding taxes on Pack Grid's net income. We may suspend paid features for overdue amounts after reasonable notice. We may change prices or plan features for a future renewal term by providing advance notice through the service or by email; Customer may cancel before the change takes effect.

Custom work

Optional implementation, migration, integration, or custom-development work requires a written order form or statement of work describing fees, deliverables, and ownership. Unless that writing expressly states otherwise, Pack Grid retains ownership of reusable software, tools, templates, know-how, and improvements, and Customer retains ownership of Customer Data and Customer materials.

Availability and changes to the service

We use reasonable efforts to operate the service but do not guarantee uninterrupted, error-free, or loss-free availability. Maintenance, security events, third-party outages, Amazon or SellerCloud changes, internet failures, and events outside our reasonable control may affect access. We may add, modify, or discontinue features, provided that we will not materially reduce the core paid service during a current term without a reasonable business or legal need.

Third-party services

The service interoperates with third-party products such as Amazon, SellerCloud, Clerk, Stripe, and QZ Tray. Third-party services are governed by their own terms and privacy practices, and Pack Grid does not control their availability, security, data, or decisions. Pack Grid is independent software and is not sponsored or endorsed by Amazon. Amazon and related marks are trademarks of Amazon.com, Inc. or its affiliates.

Pack Grid intellectual property and feedback

Pack Grid, including its software, source and object code, website, designs, documentation, text, reports, workflows, selection and arrangement, and related technology, is owned by Pack Grid LLC or its licensors and protected by intellectual-property and other laws. Except for the limited right to use the service, all rights are reserved.

If you voluntarily provide ideas, suggestions, or feedback about Pack Grid, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate that feedback without restriction or compensation. This does not give us ownership of Customer Data.

Confidentiality

Each party may receive nonpublic information that a reasonable person would understand to be confidential. The receiving party will use that information only to perform or receive the service and will protect it using reasonable care. This obligation does not apply to information the receiving party can document was already lawfully known, becomes public without breach, is received lawfully without a confidentiality duty, or is independently developed without use of the confidential information.

A party may disclose confidential information when legally required if, where permitted, it gives prompt notice and reasonable assistance. The protections in this section are in addition to the data-handling duties described in the Privacy Policy and any signed data-processing agreement.

Suspension and termination

We may suspend or limit access when reasonably necessary to address a security risk, unlawful use, nonpayment, breach of these Terms, misuse of data, harm to another party, or a requirement imposed by law, Amazon, or another connected service. When practical, we will provide notice and an opportunity to cure.

Either party may terminate an unpaid account at any time. Paid subscriptions may be canceled as described above. Upon termination, the license to use Pack Grid ends. Customer should export needed data before access ends. We may delete Customer Data after termination according to the Privacy Policy, applicable law, Amazon requirements, and any order form. Provisions that by their nature should survive will survive, including payment, ownership, confidentiality, disclaimers, limitations, indemnification, and dispute terms.

Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PACK GRID IS PROVIDED "AS IS" AND "AS AVAILABLE." PACK GRID LLC AND ITS LICENSORS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE OR THIRD-PARTY DATA WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, COMPLETE, OR SUITABLE FOR CUSTOMER'S PARTICULAR REQUIREMENTS.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PACK GRID LLC AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA; COST OF SUBSTITUTE SERVICES; OR AMAZON, CARRIER, MARKETPLACE, INVENTORY, ADVERTISING, OR FULFILLMENT LOSSES, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF PACK GRID LLC AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE FEES CUSTOMER PAID OR OWED TO PACK GRID FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND DO NOT LIMIT LIABILITY THAT CANNOT LAWFULLY BE LIMITED.

Indemnification

Customer will defend, indemnify, and hold harmless Pack Grid LLC, its affiliates, and their personnel from third-party claims, damages, losses, liabilities, costs, and reasonable attorneys' fees arising from Customer Data, Customer's products or operations, Customer's violation of law or third-party rights, unauthorized integrations, or Customer's or its users' misuse of the service. We will provide reasonable notice, allow Customer to control the defense and settlement, and provide reasonable cooperation at Customer's expense. Customer may not settle a claim in a manner that admits fault by or imposes obligations on a protected Pack Grid party without our written consent.

Governing law and courts

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles. The parties consent to exclusive jurisdiction and venue in the state and federal courts serving the Virginia locality where Pack Grid LLC maintains its principal office, and each party waives objections to personal jurisdiction or inconvenient forum in those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Changes to these Terms

We may update these Terms to reflect changes in law, security, functionality, or business practices. We will post the revised Terms with a new last-updated date. For a material change affecting an active paid subscription, we will provide reasonable advance notice by email or through the service. Unless a change must take effect sooner for legal or security reasons, it will apply at the next renewal or the stated effective date. Continued use after the effective date constitutes acceptance; if you do not agree, you must stop using the service and cancel before the change applies.

Notices

We may send operational and legal notices to the email associated with Customer's account, through the service, or by posting where these Terms require. Customer must keep its contact information current. Notices to Pack Grid must be sent to hemal.m@pack-grid.com and are effective when received.

General terms

These Terms, the Privacy Policy, applicable order forms, and any signed data-processing agreement are the entire agreement concerning the service and replace prior discussions on that subject. Customer may not assign these Terms without our written consent. We may assign them in connection with a merger, reorganization, financing, or sale of all or substantially all relevant assets. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will continue. Headings are for convenience only. Neither party is the other's partner, agent, fiduciary, or employee.
